TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the services provided by Equinox Solutions (“Equinox,” “we,” “us,” or “our”), including AI-powered call handling, automated intake, call recording, dashboards, and integrations (the “Services”).

By accessing or using the Services, you (“Client”) agree to these Terms.

1. Services Provided

Equinox Solutions provides an AI-powered automated call intake and call-handling platform designed for real estate professionals.

The Services allow Clients to:

  • Configure AI receptionist scripts and intake questions

  • Answer inbound calls from property owners

  • Collect seller-provided real estate information

  • Record calls, generate transcripts, and log outcomes

  • Sync data to third-party CRMs or dashboards

All calls are handled by automated AI systems, not human agents.

2. Client-Controlled Content

Client acknowledges and agrees that:

  • All questions, prompts, scripts, and workflows are created, selected, or approved by the Client

  • Equinox does not review, verify, or validate Client-provided content

  • Client is solely responsible for the legality, accuracy, and compliance of all configured questions and scripts

3. No Professional Advice

Equinox Solutions does not:

  • Act as a real estate broker or agent

  • Provide property valuations

  • Negotiate offers

  • Provide legal, tax, or financial advice

The AI receptionist performs information collection only.

4. AI & Automation Disclaimer

The Services rely on artificial intelligence and automated systems which are probabilistic in nature.

AI-generated outputs may be inaccurate, incomplete, or misinterpreted.

Client agrees that:

  • All AI output requires human review

  • Equinox makes no guarantees regarding accuracy or completeness

  • Business decisions made using AI output are solely Client’s responsibility

5. Call Recording & Telecom Compliance

The Services may include call recording functionality.

An automated disclosure is played at the beginning of calls stating that the call is being recorded.

Client is solely responsible for:

  • compliance with call recording and consent laws

  • telecom and consumer protection laws

  • ensuring disclosures are lawful and sufficient

Equinox provides recording tools only and does not provide legal compliance advice.

6. Data Ownership & Roles

  • Client retains ownership of all data collected through the Services

  • Client is the Data Controller

  • Equinox acts solely as a Data Processor / Service Provider

7. Prohibited Data

Client may not configure the Services to collect:

  • Social Security numbers

  • Bank account or payment card information

  • Government-issued identification numbers

Any such data collected in violation of this policy is the sole responsibility of the Client.

8. Acceptable Use

Client may not use the Services to:

  • commit fraud or deception

  • impersonate individuals or businesses

  • harass or abuse callers

  • violate telecom or consumer laws

  • collect prohibited or unlawful data

Violations may result in immediate suspension or termination.

9. Service Availability

Equinox aims to provide reliable service but does not guarantee uninterrupted operation.

Downtime may occur due to third-party providers, maintenance, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Equinox is not liable for indirect, incidental, or consequential damages

  • Equinox’s total liability is limited to fees paid by Client in the preceding 30 days

11. Indemnification

Client agrees to indemnify and hold harmless Equinox Solutions from any claims arising from:

  • Client’s business practices

  • Client-provided scripts or questions

  • Call recording or consent issues

  • Legal or regulatory violations

  • Data collected or used through the Services

12. Termination

Equinox may suspend or terminate Services immediately if:

  • illegal or abusive activity is suspected

  • these Terms are violated

  • payment fails or is reversed

  • excessive risk is identified

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Equinox Solutions is registered.
