ACCEPTANCE OF TERMS
By purchasing, subscribing to, or using AcreAgent services provided by Equinox Solutions ("we," "us," "our," "AcreAgent," or "Company"), you ("you," "your," "User," "Subscriber," or "Client") agree to be legally bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
Continued use of AcreAgent services after any updates to these Terms constitutes your acceptance of the revised Terms.
1. SERVICE DESCRIPTION
1.1 What We Provide
AcreAgent is an AI-powered INBOUND-ONLY call center service designed to answer incoming calls, capture property seller information, and integrate with your Customer Relationship Management (CRM) system.
AcreAgent does NOT make outbound calls. It only answers incoming calls to your designated phone number.
Our services include:

AI-powered answering of inbound calls (24/7/365)

Property seller intake and data capture
-
Automated CRM integration and data logging
-
Call recording and transcription of incoming calls
-
Monthly minute allocations based on your selected plan
-
Dashboard access for call monitoring and management
-
Optional phone number provisioning or porting
1.2 What We Don't Provide
AcreAgent is a technology service—NOT a real estate brokerage, legal advisor, financial consultant, or business advisor. We do NOT:

Guarantee any specific business results, lead quality, conversion rates, or revenue
-
Provide legal, financial, tax, or real estate advice
-
Act as your agent, employee, or partner
-
Ensure compliance with your local, state, or federal regulations
-
Guarantee 100% uptime, call accuracy, or error-free transcriptions
You are solely responsible for how you use this service and for compliance with all applicable laws.
2. AI USAGE, RECORDINGS & DATA PROCESSING
2.1 Consent to AI Processing
By using AcreAgent, you acknowledge and consent to the use of artificial intelligence (AI) technologies to:

Record, transcribe, analyze, and process all calls made to your AcreAgent number
-
Generate personalized responses and recommendations based on your business information
-
Store call recordings, transcriptions, and associated data in our secure systems
-
Analyze call data for quality assurance, training, and service improvement
2.2 AI-Generated Content & Your Responsibility
AcreAgent uses AI to provide automated call handling and business recommendations. You acknowledge and agree that:

All AI-generated responses, advice, and recommendations are for informational purposes only
-
AI is not a substitute for professional legal, financial, or regulatory advice
-
You are solely responsible for verifying the accuracy, legality, and applicability of all AI-generated content
-
Real estate laws, telemarketing regulations, and recording consent requirements vary by jurisdiction
-
You must ensure all actions taken comply with laws in your specific location
-
We make NO guarantees or warranties regarding the accuracy, completeness, or suitability of AI-generated content for your individual circumstances
-
You assume all risk and liability for any actions taken based on AcreAgent services
2.3 No Personal Liability for AI Content
AcreAgent may use artificial intelligence that replicates voices, images, or likenesses of team members for training and educational purposes. You acknowledge that:

Any advice or recommendations delivered through AI are generated by AI technology—NOT by individual team members personally
-
No individual assumes personal or professional responsibility for AI-generated content
-
AI-generated content does not represent personal consultation or individualized professional advice
2.4 Call Recording Notice
ALL INCOMING CALLS ARE AUTOMATICALLY RECORDED.
Every caller is automatically notified that the call is being recorded. This notice is provided by the AI at the beginning of each call.
By using AcreAgent, you acknowledge that:

All incoming calls are recorded by default

Callers receive automatic verbal notice that the call is being recorded
-
Call recordings are used for quality assurance, training, and AI improvement
-
Call recordings are stored securely on our servers
Your Responsibility:
You are solely responsible for compliance with call recording laws in your jurisdiction. We provide the automatic notice as a baseline, but you must ensure it meets your specific legal requirements.
Federal law (one-party consent) permits recording with just your consent in most states. However, some states require ALL parties to consent to recording ("two-party consent states").
If your specific state or jurisdiction requires additional verbal consent or other recording requirements beyond our automatic notice, please contact support@equinoxvoice.com to discuss your needs.
3. SUBSCRIPTION PLANS, BILLING & PAYMENTS
3.1 Plan Selection
AcreAgent offers multiple subscription tiers with varying monthly minute allocations and pricing.
Current plan options, features, and pricing are available on our website at www.equinoxvoice.com/services-and-pricing.
All plans are billed monthly on a recurring basis. Your subscription automatically renews each billing cycle until you cancel.
3.2 Minute Allocations & Expirations

Each plan includes a monthly minute allocation
-
Monthly minutes expire at the end of each billing cycle and DO NOT roll over
-
Unused minutes are forfeited at the end of your billing period
3.3 Top-Up Minutes
-
Top-up packages (50, 100, or 200 minutes) are available for purchase
-
Top-up minutes DO roll over month-to-month and do not expire
-
Top-up minutes are charged separately from your monthly subscription
-
Once purchased, top-up minutes are non-refundable
3.4 What Happens When You Run Out of Minutes
If you exceed your monthly minute allocation AND have not purchased top-up minutes, your AcreAgent service will stop answering calls.
Once your minutes are depleted, incoming calls will NOT be answered until:

You purchase top-up minutes, OR
-
Your monthly plan renews (beginning of next billing cycle)
We do NOT charge automatic overage fees. Your service simply stops when minutes run out.
YOU are responsible for monitoring your minute usage and purchasing top-up minutes if needed to maintain uninterrupted service.
We are NOT liable for missed calls, lost leads, or business interruption that occurs when your minutes are depleted.
3.5 Payment Authorization
By providing payment information, you authorize us to:

Charge your payment method for your selected plan on a recurring monthly basis
-
Automatically charge top-ups, add-ons, and any applicable fees
-
Update your payment method if your card expires or is replaced
3.6 Failed Payments & Account Suspension
If payment fails:
-
Your account may be suspended immediately
-
You will lose access to AcreAgent services until payment is resolved
-
Incoming calls will not be answered during suspension
-
We are not responsible for missed calls or lost leads during suspension
3.7 Price Changes
We reserve the right to change pricing at any time. Price changes will apply to renewals after the effective date of the change. We will provide at least 30 days' notice of price increases via email.
4. ALL SALES ARE FINAL – NO REFUNDS POLICY
4.1 No Refunds
ALL PURCHASES ARE FINAL AND NON-REFUNDABLE.
We do NOT offer refunds, credits, prorated amounts, or partial reimbursements for:

Unused time in a billing cycle
-
Unused minutes (monthly or top-up)
-
Early cancellations
-
Plan downgrades
-
Service dissatisfaction
-
AI performance disputes
-
Technical issues or service interruptions
-
Change of mind or business circumstances
4.2 Why No Refunds?
AcreAgent is a delivered service. Once your account is activated and you begin receiving services, the product has been delivered. Just like you can't get a refund on last month's phone bill or internet service, we don't offer refunds for delivered AI call center services.
4.3 Cancellations
You may cancel your subscription at any time, but:

Cancellation does NOT entitle you to a refund for the current billing period
-
You will retain access until the end of your current billing cycle
-
No partial refunds are issued for early cancellations
-
Top-up minutes purchased are non-refundable
5. NO PERFORMANCE GUARANTEES
5.1 Service Provided "AS IS"
AcreAgent services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
We do NOT guarantee:

Call volume or lead quality
-
Conversion rates or business results
-
Accuracy of AI responses or transcriptions
-
100% uptime or uninterrupted service
-
Error-free CRM integration
-
Compatibility with all CRM systems
-
Caller satisfaction or engagement rates
5.2 AI Limitations
You acknowledge that AI technology has inherent limitations:

AI may misinterpret caller statements or questions
-
Transcriptions may contain errors or omissions
-
AI cannot replicate human judgment, intuition, or decision-making
-
Unexpected caller behavior may produce unpredictable AI responses
-
AI responses are generated based on training data and may not cover every scenario
YOU ASSUME ALL RISK associated with relying on AI-generated call handling, transcriptions, and data.
5.3 CRM Integration Risks
While we integrate with many CRM systems, we cannot guarantee:

Compatibility with all CRM platforms
-
Perfect data synchronization
-
Prevention of data loss or corruption
-
That CRM integrations will remain functional if the CRM provider makes changes
BACKUP YOUR CRM DATA REGULARLY. We are not responsible for data loss resulting from CRM integration.
6. USER RESPONSIBILITIES & LEGAL COMPLIANCE
6.1 Your Legal Obligations
You are solely responsible for:

Call recording consent: Complying with federal and state call recording laws for incoming calls
-
Your marketing activities: Any outbound marketing you do to generate inbound calls (direct mail, ads, cold calling, etc.) must comply with all applicable laws
-
Data privacy: Compliance with CAN-SPAM, GDPR, CCPA, and other data privacy laws
-
Lawful use: Ensuring AcreAgent is used only for lawful business purposes
-
Caller data: Lawful collection, storage, and use of all caller data
Note: While AcreAgent itself does NOT make outbound calls, YOU may be conducting marketing activities (mailers, ads, cold calls) that generate the inbound calls AcreAgent answers. You remain solely responsible for compliance with all laws governing YOUR marketing activities, including:

Telephone Consumer Protection Act (TCPA) for any outbound calls YOU make
-
Telemarketing Sales Rule (TSR) for any telemarketing YOU conduct
-
Do Not Call (DNC) Registry requirements for YOUR outbound marketing
-
CAN-SPAM Act for any email marketing YOU send
AcreAgent is only responsible for answering incoming calls. We are NOT responsible for how you generate those calls.
6.2 Prohibited Uses
You may NOT use AcreAgent for:

Illegal activities of any kind
-
Harassment, threats, or abusive communications toward callers
-
Fraud, scams, or deceptive business practices
-
Recording calls without proper legal consent (in two-party consent states)
-
Violating data privacy laws (GDPR, CCPA, etc.)
-
Using caller data for undisclosed or unlawful purposes
VIOLATION OF THESE TERMS MAY RESULT IN IMMEDIATE ACCOUNT TERMINATION WITHOUT REFUND.
Note: While AcreAgent only handles inbound calls and does NOT violate telemarketing laws, YOU may be conducting outbound marketing activities to generate those inbound calls. You remain solely responsible for compliance with all laws governing YOUR marketing methods (TCPA for outbound calls, TSR for telemarketing, DNC registry, CAN-SPAM for emails, etc.).
6.3 Phone Number Compliance
If you port an existing phone number to AcreAgent:

You represent that you own or have the right to port that number
-
You are responsible for any porting fees charged by your previous carrier
-
You understand that porting may take several business days
-
We are not responsible for issues caused by your previous carrier
6.4 CRM Access & Data Security
By integrating AcreAgent with your CRM, you grant us limited access to:

Add leads and temporary leads to your CRM
-
Log call data and property details
We do NOT access, view, or store other data in your CRM. However, you are responsible for:
-
Securing your CRM login credentials
-
Monitoring CRM integrations for unauthorized access
-
Backing up your CRM data regularly
7. CHARGEBACK PROTECTION & DISPUTE RESOLUTION
7.1 No Unauthorized Chargebacks
By completing a purchase, you agree NOT to initiate chargebacks for:

Delivered services (active accounts receiving calls)
-
Active subscriptions or recurring billing
-
Usage-based charges (top-ups, add-ons)
-
Disputes over AI performance, lead quality, or service features
-
Dissatisfaction with results or business outcomes
7.2 Consequences of Chargebacks
If you initiate an unauthorized chargeback:

Your account will be immediately suspended
-
Your access to AcreAgent services will be terminated
-
You may be permanently banned from future use
-
You may be responsible for chargeback fees and legal costs
7.3 Proper Dispute Process
If you have a billing dispute or service issue:

We will investigate and respond within 5 business days
-
If unresolved, disputes will be handled according to Section 13 (Arbitration)
8. DATA PRIVACY & SECURITY
8.1 Data Collection
We collect and process:

Account information (name, email, phone, business details)
-
Payment information (processed securely via third-party processors)
-
Call recordings, transcriptions, and metadata
-
CRM integration data (property details, seller info, lead data)
-
Usage analytics (call volume, minute consumption, system performance)
8.2 Data Storage & Security

All data is stored on secure U.S.-based servers
-
We use industry-standard encryption and security measures
-
However, NO SYSTEM IS 100% SECURE. We cannot guarantee absolute security.
-
You acknowledge the inherent risks of internet-based data storage
8.3 Data Sharing
We do NOT sell your data. However, we may share data with:

Third-party service providers (hosting, payment processing, CRM integrations)
-
Law enforcement or regulatory agencies when required by law
-
Third parties with your explicit consent
8.4 Data Retention

Call recordings are retained for quality assurance and legal compliance
-
You may request deletion of specific call recordings via written request
-
We may retain data as required by law or for legitimate business purposes
8.5 GDPR, CCPA & Privacy Compliance
If you are subject to GDPR, CCPA, or other data privacy laws:

YOU are the data controller
-
WE are the data processor
-
You are responsible for obtaining proper consent from callers
-
You are responsible for providing privacy notices to callers
-
We will cooperate with valid data subject requests as required by law
9. INTELLECTUAL PROPERTY
9.1 Our Ownership
All content, software, code, trademarks, logos, and intellectual property associated with AcreAgent are owned by Equinox Solutions or our licensors. You do NOT acquire any ownership rights by using our services.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to use AcreAgent for your business purposes during your active subscription. This license terminates immediately upon cancellation or termination.
9.3 Your Content
You retain ownership of:

Your business information and branding
-
Call data and recordings generated through your account
-
CRM data and lead information
However, by using AcreAgent, you grant us a license to use your content for:

Providing and improving AcreAgent services
-
Training AI models
-
Quality assurance and support
-
Anonymized analytics and research
10. LIMITATION OF LIABILITY
10.1 Maximum Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO ACREAGENT SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 30 DAYS PRIOR TO THE CLAIM.
10.2 Exclusion of Consequential Damages
WE ARE NOT LIABLE FOR:

Lost profits, revenue, or business opportunities

Lost deals, missed calls, or failed lead capture
-
Data loss, corruption, or security breaches
-
Indirect, incidental, punitive, or consequential damages
-
Costs of substitute services or alternative solutions
-
Reputational harm or business interruption
-
Regulatory fines, penalties, or legal costs resulting from your use of AcreAgent
10.3 Third-Party Liability
We are not responsible for:

Actions of third-party service providers (CRM vendors, phone carriers, etc.)
-
CRM downtime, data loss, or integration failures
-
Phone number porting issues caused by carriers
-
Internet or network outages beyond our control
10.4 Force Majeure
We are not liable for service interruptions caused by:

Natural disasters, acts of God, or severe weather
-
Government actions, regulations, or legal restrictions
-
Cyberattacks, hacking, or security breaches
-
Third-party service failures (hosting, telecommunications, etc.)
-
Any events beyond our reasonable control
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Equinox Solutions, its owners, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use or misuse of AcreAgent services
-
Your violation of these Terms
-
Your violation of any laws or regulations (TCPA, GDPR, etc.)
-
Your failure to obtain proper call recording consent
-
Any claims by third parties related to your business practices
-
Any disputes with callers, clients, or business partners
12. TERMINATION & ACCOUNT SUSPENSION
12.1 Your Right to Cancel
You may cancel your subscription at any time by:

Logging into your account dashboard and selecting "Cancel Subscription"
Cancellation takes effect at the end of your current billing cycle. No refunds are issued.
12.2 Our Right to Terminate
We reserve the right to suspend or terminate your account immediately if:

You violate these Terms
-
You engage in illegal or prohibited activities
-
Your payment fails or is disputed
-
You initiate unauthorized chargebacks
-
You abuse or misuse AcreAgent services
-
We determine, in our sole discretion, that continued service poses a risk
TERMINATION DOES NOT ENTITLE YOU TO A REFUND.
12.3 Effect of Termination
Upon termination:

Your access to AcreAgent services will be revoked
-
Your AI call center will stop answering calls
-
Call recordings may be deleted after a retention period
-
You will lose access to your dashboard and analytics
13. DISPUTE RESOLUTION & ARBITRATION
13.1 Informal Resolution First
Before filing any legal claim, you agree to contact us at support@equinoxvoice.com and attempt to resolve the dispute informally for at least 30 days.
13.2 Binding Arbitration
ANY DISPUTES THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED BY BINDING ARBITRATION.
You agree that:

All disputes will be resolved through individual arbitration, NOT class actions or lawsuits
-
Arbitration will be conducted under the rules of the American Arbitration Association (AAA)
-
Arbitration will take place in [YOUR STATE/COUNTY]

The arbitrator's decision is final and binding

You waive your right to a jury trial
13.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
All disputes must be brought individually.
13.4 Exceptions
This arbitration clause does NOT apply to:

Claims for injunctive relief

Intellectual property disputes

14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AcreAgent.
14.2 Governing Law
These Terms are governed by the laws of the State of [YOUR STATE], without regard to conflict of law principles.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
14.4 No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
14.5 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms at any time.
14.6 Updates to Terms
We may update these Terms at any time. Material changes will be communicated via email. Continued use of AcreAgent after updates constitutes acceptance of the revised Terms.

15. ACKNOWLEDGMENT
BY CLICKING "I AGREE," COMPLETING A PURCHASE, OR USING ACREAGENT SERVICES, YOU ACKNOWLEDGE THAT:

You understand that all sales are final and non-refundable

If you do not agree to these Terms, do not use AcreAgent services.
